Waste Industries USA Receives Offer to Go Private

Waste Industries USA, Raleigh, N.C., has received an offer from a group of investors led by Lonnie Poole Jr., the company’s founder and chairman, and Jim Perry, the firm’s president and CEO, to take the company private. The group, which also includes Macquarie Infrastructure Partners and Goldman Sachs and which owns 51 percent of the firm’s shares either directly or indirectly, is offering to buy the remaining shares at $36.75 apiece.

The group has indicated that the firm’s headquarters would remain in Raleigh if the offer is accepted. The company’s Board of Directors has appointed a special committee of independent directors to consider the proposal. JP Morgan Securities will assist the committee in its deliberations.
